     TRIAL TERMS OF USE

 

Please read these Terms carefully. By accessing or using the Licensed Materials in any way, you agree to be bound by these Terms. If you do not agree to all of these terms and conditions, do not access or use the Licensed Materials.

 

These Trial Terms of Use (“Terms”) govern your access to and use of the Licensed Materials, and is a contract between Economic Modeling, LLC and its affiliates (“Lightcast”) and you or the entity or organization you represent (“Licensee”). These terms of use apply to your access and use of, as applicable, Lightcast’s Data Shares, Software Services, APIs, Datasets and Lightcast Intellectual Property (together “Licensed Materials”).  By accessing the Licensed Materials, you agree to be bound by these Terms.

 

If you are using the Licensed Materials on behalf of an entity or organization that you represent, all references to “you,” “your,” or “Licensee” are to that entity or organization. You represent and warrant that you are at least 18 years of age, or have otherwise reached the age of “majority” where you reside, and that you have the right, power and authority to enter into this agreement on behalf of Licensee.

 

These Terms become binding and effective on you when you access the Licensed Materials through any means whatsoever, in the absence of a separate, executed agreement that expressly governs your use.

1. License. Lightcast owns all right, title, and interest in and to the Licensed Materials. Subject to Licensee’s compliance with these Terms, Lightcast grants Licensee a limited, royalty-free, non-transferable, and non-sublicensable right and license to access and use the Licensed Materials      solely as provided in these Terms and for such period of time as Lightcast makes the Licensed Materials available to Licensee. Lightcast may revoke this license at any time, including at the end of the trial term, in its sole and absolute discretion, with or without notice.

2. Scope of Use. Licensee may only access and use the Licensed Materials for internal evaluation purposes and in compliance with all applicable laws. Licensee may not copy or distribute all or any part of the Licensed Materials, nor give any person or entity access to the credentials issued to it without Lightcast’s express written permission. Licensee may not modify or create derivative works of the Licensed Materials; sublicense, lease, rent, assign, distribute, repackage, rebrand, or otherwise transfer the Licensed Materials; use the Licensed Materials in connection with any product or software other than Licensee’s internal evaluation applications; use the Licensed Materials in a product or service that substantially replicates or competes with products or services offered by Lightcast; and/or cause, assist or permit any third party to do any of the foregoing.

3. Reservation of Rights. Lightcast reserves all rights in and to the Licensed Materials not expressly granted to Licensee in this Terms. Lightcast may routinely update the Licensed Materials at its discretion. Licensee agrees not to challenge or to assist others in challenging, directly or indirectly, any of Lightcast’s rights in and to the Licensed Materials. Lightcast reserves the right to cancel or modify any part of these Terms at any time, for any reason. Lightcast may stop providing access to the Licensed Materials at any time, for any reason, including upon expiration of a trial period.

4. Disclaimer and Limitation of Liability. THE LICENSED MATERIALS ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL LIGHTCAST BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE LICENSED MATERIALS     .

LIGHTCAST SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE TO THE OTHER PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF THE LICENSED MATERIALS, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE, PRODUCT LIABILITY OR OTHERWISE), OR ANY OTHER PECUNIARY LOSS, WHETHER OR NOT LICENSEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

IF YOU ACCESS THE LICENSED MATERIALS VIA A THIRD PARTY, MARKETPLACE, OR ANY OTHER SERVICE THAT IS NOT LIGHTCAST OWNED, YOU ACKNOWLEDGE THAT SUCH SERVICES ARE NOT OWNED, CONTROLLED, OR OPERATED BY LIGHTCAST. LIGHTCAST DISCLAIMS ALL LIABILITY IN CONNECTION WITH USE OF THE THIRD-PARTY SERVICES.      

 

5. Miscellaneous. These Terms are governed in all respects by the laws of the state of Delaware as such laws are applied to agreements entered into and to be performed entirely within Delaware between Delaware residents. Legal proceedings related to the matters herein shall be brought in and adjudicated solely in the courts of the state of Delaware in the United States of America. All parties consent to extraterritorial service of process and submit to the jurisdiction of said courts. If any provision of these Terms are held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Lightcast’s failure to act with respect to a breach by Licensee or others does not waive its right to act with respect to subsequent or similar breaches. These Terms set forth the entire understanding and agreement of the parties as to the subject matter hereof and supersede all prior proposals, discussions or agreements with respect thereto. A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.      

6. Indemnification. Lightcast will indemnify you from third-party claims alleging that the authorized use of the Licensed Materials directly infringes a valid United States patent, copyright, or trademark. This indemnification provision is conditioned upon you notifying Lightcast promptly of a claim, you granting Lightcast sole control of the defense and settlement of the claim, and you cooperating with Lightcast’s reasonable requests throughout the defense. This indemnity will not apply if you have modified the Licensed Material or used the Licensed Materials in a way not contemplated by these Terms.

If a third party brings a claim against Lightcast based on Licensee’s misuse of Licensed Materials or a breach by Licensee of any of these Terms, Licensee will indemnify, defend, and hold harmless Lightcast, its parents, affiliates and subsidiaries, against any and all claims, suits, losses, liabilities, and judgments, including costs, expenses, damages, and reasonable legal fees arising from the third-party claim.

7. Feedback. To the extent Lightcast incorporates any feedback, recommendations, or ideas from Licensee into the Licensed Materials or any other Lightcast products and services, Lightcast will own all right, title, and interest in and to such additions to Lightcast products and services.

8. Snowflake Reader Accounts. Lightcast may monitor Licensee’s use of the Licensed Materials      and, in Lightcast’s sole discretion for a trial term using a reader account, put Snowflake credit limits in place.

9. Changes to this Agreement. Lightcast may modify these Terms from time to time. It is Licensee’s responsibility to periodically check these Terms for updates. If Licensee objects to any updated Terms, as its sole and exclusive remedy, Licensee may choose to stop using the Licensed Materials and/or Licensed Materials.

11. Definitions

11.1 APIs means an application programing interface giving access to Licensed Materials.

11.2  Datasets means the proprietary compilation of Lightcast data and/or taxonomies.

11.3 Data Shares means any access to Lightcast Materials through Lightcast’s Services or a third-party platform such as Snowflake, Databricks, Google BigQuery, Microsoft Azure Blob Storage, Google Cloud Storage, Secure File Transfer Protocol, or any other marketplace or third-party platform giving access to the Services.

11.4 Lightcast Intellectual Property means all rights to patents, inventions, copyrights, trademarks, business names and domain names, goodwill, designs, computer software, database rights, including know-how and trade secrets, and all other intellectual property rights protected by Applicable Laws, registered or unregistered.

11.5 Software Services means the Applications and Content provided to you by Lightcast as described in an Order Form or through other means.
