Business Contact Terms

1. Introduction and Scope
1.1 Applicability. These Business Contact Terms (“Contact Terms”) apply to Customer’s access to and use of the following Lightcast’s Contact Products.
1.2 Relationship to General Terms. These Contact Terms supplement and form part of the General Terms of Service. In the event of any conflict or inconsistency between these Contact Terms and the General Terms, these Contact Terms shall prevail with respect to the Contact Products.
1.3 Acceptance. Customer accepts these Contact Terms by executing an Order Form referencing the Contact Products or by using any Contact Product.
1.4 Modifications and Waivers. No waiver, modification, or amendment of these Contact Terms shall be effective unless made in writing and signed by authorized representatives of both parties.
2. Definitions
2.1 Incorporated Definition. Capitalized terms used in these Contact Terms have the meanings set forth in the General Terms unless otherwise defined herein.
2.2 Key Definitions. For purposes of these Contact Terms, the following definitions apply:

3. Authorized Use
3.1 License. Subject to Customer’s compliance with the Agreement, Lightcast grants Customer a non-exclusive, non-transferable, limited right to access and use the Contact Products and Output Data solely for Customer’s internal business purposes as specified in the applicable Order Form.
3.2 Permitted Use. Permitted uses include:
- Enriching Customer’s existing customer relationship management records.
- Conducting labor market analysis and research.
- Generating and contacting potential business-to-business leads, subject to compliance with Applicable Laws.
- Publishing static elements of Output Data in reports, presentations, or memoranda, provided all copyright notices are preserved and Lightcast is cited as the source.
4. Prohibited Use
4.1 General Restrictions. Customer shall not, and shall not permit any third party to:
- Use Output Data for any illegal purpose or in violation of Applicable Laws, including, but not limited to, the CAN-SPAM Act, CASL, TCPA, Telemarketing Sales Rules, or similar laws.
- Use Output Data to promote illegal, regulated, or restricted products or services.
- Use Output Data to defraud, deceive, mislead, harass, discriminate, libel, defame, threaten, or violate the rights of any person or entity.
- Use Output Data to violate or promote the violation of intellectual property rights.
- Transmit unsolicited, harassing, or spam communications, or communications lacking appropriate opt-out mechanisms.
- Use Output Data to create, update, or maintain a profile database for third-party use, or to contact or advertise to individuals except as expressly permitted herein.
- Use Output Data to re-identify anonymized data, impersonate any person or entity, or misrepresent affiliation.
5. Compliance with Law
5.1 General Obligations. Customer shall comply with all Applicable Laws in connection with its use of the Contact Products and Output Data, including laws relating to data privacy, marketing, communications, and do-not-contact lists.
5.2 Customer’s Use. Customer is solely responsible for determining the applicability of, and ensuring compliance with, all laws and regulations relevant to its use of the Contact Products and Output Data.
5.3 Consent and Notice Requirements. Customer shall obtain all required consents, provide all required notices, and complete any other actions necessary to lawfully process personal information or conduct marketing activities using Output Data.
5.4 Opt-Outs. In the event Lightcast receives a request from an individual to opt-out or exercise their data privacy rights, Customer shall provide reasonable assistance to Lightcast to honor the request, including by promptly deleting the individual's data from Customer's systems.
6. Customer Responsibilities
6.1 Scope of Liability. Customer is solely responsible and liable for:
- Its use of the Contact Products and Output Data.
- Ensuring that all communications sent using Output Data comply with Applicable Laws and industry best practices.
- Subscribing to and complying with all relevant do-not-contact lists and registry requirements.
- Maintaining the security and confidentiality of access credentials and Output Data.
- Promptly reporting any unauthorized access or use of Output Data to Lightcast.
6.2 Indemnification. Customer shall indemnify, defend, and hold harmless Lightcast and its affiliates, directors, officers, employees, contractors, and agents from and against any claims, losses, liabilities, damages, costs, or expenses arising out of or in connection with Customer’s use of the Contact Products or Output Data, breach of these Contact Terms, violation of Applicable Laws, or infringement of third-party rights.
7. Remedies and Survival
7.1 Right to Monitor. Lightcast may monitor Customer’s use of the Contact Products for compliance with these Contact Terms and Applicable Laws.
7.2 Remedies for Breach. In the event of Customer’s breach of these Contact Terms, Lightcast may immediately suspend or terminate Customer’s access to the Contact Products without notice, and may seek civil, criminal, or injunctive relief as permitted by law.
7.3 Obligations Upon Termination. Unless otherwise stated in an Order Form, upon termination or expiration of Customer’s right to use the Contact Products, Customer shall promptly cease all use of Output Data, permanently delete all copies from its systems, and provide written certification of deletion upon Lightcast’s request.
7.4 Survival. Sections 2, 4, 5, 6, and 7 of these Contact Terms shall survive any termination or expiration of Customer’s right to use the Contact Products.
